CMS Cameron McKenna LLP has acted for Gazprombank to advise on a multi-billion Euro deal by OAO Gazprom (Gazprom) with the German listed BASF AG, involving asset swaps in Russia, Germany and North Africa.
Natalia Kozyrenko, the head of CMS Cameron McKenna’s energy practice in Russia, led the team of Russian lawyers, with support from the London-based team led by Vivek Gambhir and colleagues from CMS alliance firms, CMS Hasche Sigle in Germany and CMS von Erlach Henrici in Switzerland.
Natalia Kozyrenko commented: “We are delighted to have been advising on this ground-breaking deal. Our work went right through from structuring the deal, preparation of the asset swap agreement and various corporate documents, to loan agreements, gas sales agreements, and completion of the deal.”

The Energy, Projects and Construction (EPC) practice in Central and Eastern Europe is led by Andrzej Blach and comprises 10 partners and 40 associates. CMS Cameron McKenna has advised on many of the region’s largest EPC transactions, including:
- Representing RAO UES subsidiary in the reconstruction of the Boguchanskaya Hydropower station and construction of an aluminium smelter in Siberia, worth over US$ 4 billion.
- Advising BP on Sakhalin V and Sakhalin IV, major off-shore projects.
- Advising the Slovak State on the sale of a 66% share of Slovenské elektrárne, a.s. to Enel Produzione for €839 million.
- Advising the Russian Ministry of Transport on the feasibility study of the Central Ring Road; the first and the largest PPP motorway project in Russia to date, with a project value over US$ 10 billion.
