Sandra Rafferty

Sandra Rafferty is a partner in CMS Cameron McKenna’s UK Corporate Practice and she is also involved in transactions involving our Moscow office.

Sandra has been a partner since 2001 and is an active member of both our Infrastructure & Project Finance Group and Financial Services Group, advising a mixture of public and private sector organisations. Sandra’s particular experience includes mergers & acquisitions (including cross-border transactions), corporate finance, private equity, joint ventures, outsourcing, corporate restructuring and establishing limited partnerships.

Sandra is one of the leading lawyers in the PFI secondary market and has been involved in the buying and selling of nearly 200 PFI assets through portfolio and single asset transactions.

Legal 500 recommends Sandra for energy, projects and infrastructure transactions.

Relevant experience:

IPF includes advising:

• Land Securities Trillium on its acquisition of the AMEC PFI portfolio
• I2 on the majority of its acquisitions in the PFI secondary market, advising on the reorganisation of the fund’s assets, and advising the fund on its disposal
• SMIF on many of its transactions, including the acquisition of the economic interest in 13 of GSL’s PFI projects
• Acting for a bidder for Birmingham City Airport
• Advising and structuring of a joint venture for a waste recycling project

Financial Services includes advising:

• Zurich Financial Services on several matters, including the £465 million and £830 million capital reductions of Allied Dunbar Assurance PLC and Zurich Assurance Ltd respectively
• HSBC Bank plc advising it as Nomad in various instances
• Close Brothers advising it as Nomad

Russia includes advising:

• VTB Group on its US$150 million investment in Otkritie Financial Corporation
• Troika Capital Partners providing restructuring advice on certain of its investments
