Peter is a solicitor of the Supreme Court of England and Wales and an SFA Registered Representative. Peter has been involved in banking and finance transactions in the CEE region since 1991. Transactions have included project financings in inter alia commercial real estate, residential real estate, hotel and leisure and heavy industry.
Experience includes:
- advising HSBC on a number of issues relating to real estate financings in Poland;
- advising Mitre Capital Partners Ltd. on a number of real estate financings in Poland;
- advising Deutsche Bank AG London in relation to a real estate financing in Poland;
- advising Deutsche Bank AG London in relation to a Polish loan securitisation;
- advising Hypo Rela Estate in relation to a real estate financing in Poland;
- advising a major European bank in a project financing in Ukraine;
- advising a London equity fund in relation to its participation in a major project financing in Croatia, work included providing advice in respect of the debt financing for the project.
- advised VUB a.s. in it’s financing of a logistics park near Bratislava.
- advised CSOB a.s. in its financing of an management buyout of Sokolovska Uhelna a.s.
- advised VUB, a.s. on the financing of a major retail development in the Slovak Republic
- advised the Slovak Republic on the issue of a EUR 1 Billion Eurobond
- advised the Slovak Republic on the issue of a 250 million Eurobond
- advised the Slovak Republic on the issue of a EURO 500 million Eurobond;
- advised Kardan NV in relation to its’ Central European operations relating to the delisting and re-listing of shares on the Tel Aviv and Euronext exchanges, the assignment included co-ordinating counsel in several jurisdictions (Croatia, Bulgaria, Romania, Poland and Slovakia) and producing a report identifying relevant legal issues in the aforesaid jurisdictions as well as liaison with the Netherlands bused merchant bank involved in the listings as well as the management of the company based in Israel;
- advised borrowers (i.e. offshore ownership vehicles) in relation to aircraft finance transactions;
- advised Citibank (Slovakia) a.s. in its role as arranger and syndicate member in relation to the provision of a syndicated debt facility to a Central European aluminum producer;
- advised a corporate borrower in successful negotiations with a major European bank in relation to a project finance loan to fund the construction of an entertainment and retail complex in Prague;
- advised Živnostenská Banka a.s. in relation to its participation (as arranger, agent and bank) in a syndicate providing debt financing for the refurbishment of the Prague Conference Centre for the IMF Conference 2000;
- advised a major European hotel operator during negotiations with a banking syndicate in connection with the financing of a luxury hotel in Slovakia;
- advised the Corinthia Group of Companies on the syndicated debt financing of the successful acquisition of Top Spirit a.s., owner of amongst others the Forum Hotel Praha (now the Corinthia Park Towers).;
- advised the lead bank and security agent in an international banking syndicate financing the restructuring of a joint Czech/European agribusiness venture;
advised Živnostenská Banka a.s. (at the time a subsidiary of BHF-Bank AG) on its participation in an international banking syndicate for the financing of the Prague Marriott hotel and office complex project;
- advised Živnostenská Banka a.s. on its participation, along with the EBRD, in the syndicated financing of Rema 1000 IK a.s.(a Czech / Norwegian joint venture);
- advised a financial institution in the structuring and placement of a USD 30 million debt package, including preparation of the Information Memorandum and negotiation of the financing documentation;
- advised a bank acting as arranger of a debt syndicate providing debt financing for the construction of the Four Seasons Hotel in Prague
