Nicholas Stretch is a partner in the tax team, specialising in employee incentives. 

He advises both quoted and unquoted companies on arrangemetns for their employees to participate in company equity, taking into account the company law, tax and employment law issues, as well as related corporate governance and FSA Remuneration Code aspects.  In addition, he advises on cash incentive arrangements and employee trust issues.

He is the author of the Employee Issues chapter in Butterworths 'Takeovers: Law and Practice' and has written numerous articles and seminars on this area, including regularly leading a transaction workshop at the annual IBC share scheme conference.  Nicholas writes frequently for PLC magazine and its employee share scheme website. He is a member of its consultative board, is a regular participant in Share Plan Lawyers meetings with HM Revenue & Customs and is chairman for the Quoted Companies Alliance Share Schemes Committee, which focuses on issues for smaller quoted companies. Nicholas is also highly rated in both Chambers and Legal 500 practitioner surveys.

Relevant experience includes advising:

  • Kennametal on its €277 million acquisition of Deloro Stellite
  • Pendragon on the employee share schemes aspects of a rights issue
  • Lloyds Development Capital on the share schemes aspects of its acquisition of Workplace Systems International
  • Alfred McAlpine on its takeover by Carillion (£0.5 billion scheme of arrangement) as well as takeovers of NSB Retail, Mediasurface, Hartest and Heath Lambert
  • Informa on its rights issue and redomicile
  • Other quoted clients including Corin, TT electronics, Savills, Advanced Computer Software, Interior Services Group, Galliford Try, Luminar, Hunting and Pendragon (on its rights issue)
  • Companies conducting an IPO including Snacktime, Conchango and Arawak Energy
  • Various  banks and other financial institutions on FSA Remuneration Code compliance.
