Nancy Eller is a finance partner in the Banking and International Finance Group.

Nancy has specialised in project and structured financings in the infrastructure and energy sectors for over 20 years, advising in both the banking and capital markets on behalf of banks and other financial institutions, project companies, sponsors/developers, regulated utilities and other corporate borrowers.

She has played a key role in many of the groundbreaking financings undertaken by CMS Cameron McKenna in recent years and is widely respected for her ability to focus on key issues in order to offer clear and practical advice. 

Nancy is rated a Leading Individual (Projects) Chambers & Partners 2011 and a Legal Expert for Projects, Energy and Natural Resources by Legal 500/Legal Business 2010.

Nancy has been with the firm since 1995, becoming an equity partner in 2001. She is dual-qualified under English and New York law.

Relevant deals include:

  • Advised the Metronet consortium in relation to all aspects of the £2.65bn project financing of the London Underground PPP for the BCV and SSL transactions.
  • Advised the lead arrangers in relation to their underwriting of The Airline Group’s £1.45bn acquisition of a controlling stake in NATS, the UK’s regulated air traffic control business.
  • Advised oil and gas E&P company on $325m development financing for UKCS block.
  • Advised the Dutch Infrastructure Fund as sponsor in relation to Gabardan 2, an 11.7MWp tranche of the Gabardan solar PV power project in south-west France. 
  • Advised the arranging banks on a reserves based lending transaction to an independent oil and gas company with an interest off Ghana, together with a related equity bridge facility.   
  • Advised RREEF Infrastructure and Meridiam Infrastructure as mezzanine lenders on the Austrian A5 DBFO shadow toll road. 
  • Advising National Grid Carbon in relation to financing aspects of a demonstration carbon capture and storage project at Hatfield.
  • Advised oil major in relation to structured finance transaction undertaken to ameliorate decommissioning liabilities.
  • Advised CKI and Power Asset Networks on the financing for their bid for E.On’s electricity distribution networks business.
  • Advised transmission system operators on compliance with licence requirements in relation to corporate financing arrangements.
  • Advised in connection with provision of security in relation to off-take agreements under JOAs and farm-out arrangements.
  • Advised Transport for London in relation to the restructuring of the hybrid project finance-securitisation debt structure supporting Tube Lines (Finance) plc, the infrastructure company responsible for the Jubilee, Northern and Piccadilly Lines in connection with the London Underground PPP 
  • Advised a major alternative energy provider in connection with the financing aspects of The Crown Estate’s proposed terms on Round 3 off-shore wind. 
  • Advising sponsors in relation to the financing for a waste sector project in England.
  • Advised National Grid Company on its $2.75bn on balance sheet jumbo credit facilities in relation to its acquisition of New England Electric System in the United States as well as its facilities for the acquisition of Niagara Mohawk in the US.
  • Advised a waste management company on their portfolio merchant plant project financing. 
  • Advised the lead arrangers of £87m senior commercial bank facilities provided to finance the second phase of infrastructure work on Chiltern Railways’ London – Birmingham line.
  • Advised Aspire Defence Limited in relation to the £1.8 billion project financing for the MOD Allenby & Connaught accommodation and associated support services project.
  • Advised the lead arrangers, comprising the European Investment Bank, SMBC, Helaba and Nationwide, providing £200m debt finance on the Bradford BSF project. 
  • Advised a project company and its shareholders in the health sector on its £160m refinancing via a monoline-wrapped commercial paper conduit structure provided by HBoS.
  • Advised bidder on the acquisition financing of a regulated utility in the energy infrastructure sector.
  • Advised a company in the transport sector in relation to its hybrid infrastructure refinancing.
  • Advised UK Highways plc on the M40 DBFO road project financing and refinancing.
  • Advised the consortium of banks financing the London Underground Power Project, involving the upgrading and supply of power and compressed air to London Underground.
  • Advised a hedge fund financing the acquisition of a stake in a super-yacht marina. 
  • Advised in relation to the commercial bank refinancing and restructuring of the A130 DBFO Road project.
  • Advising on numerous other project financings in relation to DBFO roads, other transport projects, waste and social infrastructure.
  • Advising trustees of pension schemes in relation to the preservation of scheme rights in connection with leveraged acquisitions and refinancings involving the primary employer.
  • Advising corporates and utilities on all aspects of on-balance sheet financing and refinancing activities.
