Květa Vojtová is a senior Czech advocate and a Leader of the Consumer Products sector group. She graduated of the Charles University Law School and Central European University, dept. of International Business law. Květa has joined CMS Cameron McKenna in 1998 and is a very versatile lawyer with broad experience in corporate, banking and commercial law. Květa has gained considerable experiences in the lifesciences and consumer products industry sectors.
In the area of corporate law, Květa has a broad experience in advising on complex corporate restructurings of companies, in particular mergers and acquisitions, division of companies, sales of shares and ownership interests, management buyouts and day-to-day corporate matters. By managing the acquisition processes of leading pharmaceutical and consumer products companies, Květa has gained extensive knowledge of issues facing this industry.
In the area of PE, Květa has been advising private equity funds on the acquisition of the target companies and has an extremely broad experience with coordinating and managing the most complex acquisition processes. On the sell side of the transactions, Květa advises the clients in selling the portfolio of their companies which in particular includes organisation of the vendor due diligence, assistance with preparation of the information memoranda, providing vendor sale assistance, preparation and negotiation of the relevant documentation (vendor due diligence, confidentiality agreements/ NDAs, data room rules).
Květa has successfully coordinated and organised the sale processes and coordinated the due diligences with the sellers’ advisors and provided day-to-day assistance in the sale process (organisation of the replies to potential bidders questions, documents, organisation of the meetings with management etc).
Relevant experience includes advising:
- Management and coordination of the due diligence phase of the acquisition process of majority stake of a pharmaceutical company traded on the Lithuanian Stock exchange for a private equity fund including 3 jurisdictions, negotiation of SPA, disclosure
- Zentiva NV on the EUR460 million acquisition and financing of 75% of Eczacibasi Generic Pharmaceuticals in Turkey
- Arjowiggins s.r.o. on drafting agreement on clinical valuation of heath product without conducting the clinical trial and advice related to specific issues of non-sterile health products pursuant to the special law, negotiations with State Institute for Drug Control and Ministry of Health of the Czech republic in respect of the above. Negotiations with the hospital in Brno providing the clinical valuation of health products
- An international food & drink producer on the complex restructuring process including debt pushdown, restructuring of group companies and the Czech elements of the merger process resulting from a merger of two food & drink companies in the USA
