John Fitzpatrick is an international corporate partner of CMS Cameron McKenna working throughout Europe. He is the head of International for the Technology Media and Telecommunications (TMT) industry sector group of CMS Cameron McKenna.

Previously, John was an associate in the Boston and Paris offices of large US law firms specialising in M&A, venture capital, private equity and technology transactions. Also, he was a senior in-house counsel for the US headquarters of a multinational technology company.

In addition to extensive experience advising clients in various sectors on M&A, corporate/commercial transactions, private equity and venture capital, intellectual property matters and dispute resolution, John regularly advises numerous clients in the TMT sector on a range of technology related issues and transactions, including structuring and negotiating: mergers, acquisitions, divestures, joint ventures and strategic partnerships, establishment of local subsidiaries, and other aspects of business organisation and financing; agreements relating to technology transactions, such as software and technology licence agreements, systems integration agreements, technology development and telecommunications agreements; and agency, distribution, systems integration and outsourcing agreements.

Relevant experience includes advising: 

  • A major California based publicly traded technology company in connection with the acquisition of a systems integration company based in CEE and the establishment of a captive outsourced software development operation
  • A Swiss based specialized oncology manufacturer and distributor with extensive CEE operations on an auction sale to Actavis, one of the leading generic pharmaceutical companies in Europe, for USD177 million 
  • 3i/ 3TS, a venture capital fund focused on CEE, on numerous private equity investments in CEE 
  • A major international bank on several outsourcing projects in CEE 
  • The World Bank (IFC) and a European multilateral financial institution on an equity investment in the largest Romanian commercial bank, and ultimate sale of the bank for 5.2 billion USD 
  • United Technologies Corporation on various corporate and commercial matters in Europe and beyond.

Education

A B.A. in International Politics from McGill University in 1987; a specialized diploma in comparative law from the Institute of Comparative Law of the University of Paris and a masters degree in European Law from the University of Paris in 1992; a JD with honours from the University of Connecticut School of Law in 1993; and an LLM with distinction in international law from Georgetown University Law Center in 1995. He is a member of ABA, the Massachusetts, Pennsylvania and DC Bar Associations, and a registered foreign lawyer with the Bucharest Bar Association.
