The market has recently seen a number of exceedingly large and complicated deal structures with complex financing arrangements of a ground-breaking nature. Our specialist team has been involved in several complex deal structures – acting for corporate clients, the project consortia they are part of, affiliated equity investors and infrastructure funds or the lenders financing these institutions.
We support our clients in two key areas:
Fund Raising
- Advising on the best structures and jurisdictions to present the most tax efficient solutions and to meet the particular needs of the fund manager, target investors and assets
- Providing advice on market standards and developing terms and negotiating terms with investors. Our experience on key issues - particularly fees and withdrawal terms - helps to make this as painless as possible
Advising on fund promotion across a number of jurisdictions, on regulatory permissions required or suitable exemptions and on regulatory approvals for individuals.
Portfolio Refinancing
Related to our work in the PFI secondary markets has been our work in relation to the refinancing of PFI projects that have successfully reached the operational phase. These refinancings have often involved complex financing structures to maximise refinancing gains, and usually involve consideration of corporate structuring, financial assistance and public-sector gainshare issues.
CMS Cameron McKenna has played a part in shaping the infrastructure market, allowing our clients to benefit from our experience of delivering solutions to many of the complex issues involved.
