Eleanor Layton is a partner in the Energy team (since 2003) and is based in the Edinburgh office.
Eleanor specialises in oil and gas law and has experience in a broad range of UK and international industry matters.
Eleanor is highly ranked by the Legal 500 and Chambers directories and is a committee member of the IBA's UK Energy Lawyers' Group.
Relevant experience includes advising:
- On acquisition and disposal of oil and gas interests worldwide (upstream, midstream and downstream), including asset and share sale agreements, farm-ins and net profit interest arrangements
- BP on the sale of: upstream and midstream business in the Netherlands to TAQA for $695 million, TSP oil fields in Trinidad and Tobago to Repsol, shareholding in Interconnector (UK) Ltd, the owner of the Bacton-Zeebrugge gas interconnector, its interest in Ormen Lange and the Langeled pipeline, Norway to DONG for $1.2 billion, its interest in the Forties Fields to Apache, its interest in the Kashagan field (Kazakhstan) for $500 million, $2 billion disposal of the international upstream portfolio of Veba to PetroCanada, as well as advising TAQA, RWE Dea, ENI, Melrose and other clients in connection with oil and gas M&A transactions worldwide
- On oil and gas exploration and production joint venture arrangements including shareholders’ agreements and all aspects of joint operating agreements such as operatorship issues, pre-emption, default and withdrawal
- On oil and gas transportation and processing arrangements, including the provision of FPSOs
- On LNG and coal bed methane projects
- On decommissioning issues and decommissioning security arrangements
- On contractual arrangements for the sale and purchase of petroleum products and coal
- On retail and marketing projects
- On emissions trading arrangements
