Daniel is a US securities lawyer and leads the firm’s International Capital Markets practice. His practice focuses on representing US, UK, European and Asian investment banks and corporate issuers in a wide range of securities transactions, including Rule 144A and Regulation S equity and debt offerings; Category 3, Regulation S transactions for US companies listing in the United Kingdom; rights offerings; exchange offers; equity-linked securities offerings; initial public offerings and secondary and follow-on offerings of equity securities, including SEC-registered transactions. He also provides ongoing US securities advice to The London Stock Exchange on Regulation S, Rule 144A and Regulation D.

Daniel is the founder and co-chair of the Forum for US Securities Lawyers in London a trade association representing over 1,500 US-qualified lawyers and market participants from law firms and financial institutions in the London capital markets. Daniel is also the Diversity and Inclusion Partner for CMS Cameron McKenna and the founder and co-chair of the InterLaw Diversity Forum.
Relevant experience includes advising:
- J.P. Morgan Cazenove on the demerger by Petrofac and Lundin Petroleum of their respective North Sea oil and gas assets and subsequent IPO of $1.0 billion EnQuest plc on the Main Market of the London Stock Exchange with a secondary listing on NASDAQ OMX Stockholm.
- N M Rothschild on firm placing and placing and open offer of £25.0 million for Management Consulting Group plc on the Main Market of the London Stock Exchange.
- Baker Steel Resources Trust Limited, a specialist natural resources investment company, on its launch and listing on the Main Market of the London Stock Exchange.
- J.P. Morgan Cazenove and Numis Securities on £82 million Regulation S and Section 4(2) firm placing and placing and open offer being undertaken by Unite Group plc.
- Eurocommercial Properties N.V. on an accelerated Regulation S and Rule 144A equity offering which raised €98.8 million with J.P. Morgan as sole global coordinator and bookrunner.
- J.P. Morgan Cazenove and Numis Securities on the £107.4 million Regulation S and Section 4(2) firm placing and placing and open offer being undertaken by St. Modwen Properties plc.
- J.P. Morgan Cazenove and Panmure Gordon on the £341.3 million Regulation S and Section 4(2) placing and open offer and firm placing undertaken by SIG plc.
- N M Rothschild, Panmure Gordon and Investec on an £87.2 million Regulation S rights issue being undertaken by Workspace Group plc.
- HMV Group plc on a £25 million Regulation S secondary offering in association with a joint venture with MAMA Group Plc, the UK’s second largest multiple live music venue operator, with Citigroup and Nomura as joint brokers and joint placing agents.
- UK Ministry of Defence on the £257 million block trade of its entire holding of ordinary shares in the capital of QinetiQ Group plc.
- TGE Marine AG, a leading German provider of engineering services for the design and construction of gas carrier ships, on its £67.5 million Regulation S and Regulation D IPO on AIM.
- Piper Jaffray & Co. on a £58 million institutional placing, vendor placing and open offer by Vernalis plc, a UK biotech company, with a private placement into the United States.

- Premier Foods plc, a leading UK food manufacturer and a portfolio company of global private equity firm, Hicks, Muse, Tate & Furst, in its £527 million IPO, on the Official List of the UK Listing Authority with a US private placement under Rule 144A.
- United Biscuits Finance plc in its add-on offering of £75 million of additional 10¾% sterling-denominated senior subordinated notes due 2011 and 10⅝% euro-denominated senior subordinated notes due 2011.
- Yell Group plc, a leading international directories business and a portfolio company of global private equity firms, Hicks, Muse, Tate & Furst and Apax Partners, in its £2 billion IPO, on the Official List of the UK Listing Authority with a US private placement under Rule 144A.
- Centerpulse Ltd. in a US$172.4 million rights offering, fully underwritten by InCentive Capital, a shareholder of Centerpulse Ltd., and by UBS AG, in connection with the financing of settlement of an over US$1 billion product liability class action proceeding in the United States.
- Yell Finance B.V. in its £500 million high yield offering with an issuance of £250 million 10 3/4% senior sterling notes due 2011, $200 million 10 3/4% senior dollar notes due 2011 and $288,250,000 13 1/2% senior discount dollar notes due 2011.
