CMS advises RBS on sale of pub portfolio to Heineken N.V.

LONDON, United Kingdom – 2 December 2011 – CMS Cameron McKenna LLP has advised The Royal Bank of Scotland Group plc ("RBS") on its sale of its tenanted pub business to Scottish & Newcastle Pub Company (Management) Limited (“S&NPC”), a subsidiary of Heineken N.V.

The business, which comprises 918 pubs across the UK, has been operated since 1999 by S&NPC under a management agreement.

RBS received cash proceeds of approximately £422 million as a result of the sale.CMS Corporate partner Louise Wallace led on the transaction, assisted by senior corporate associate James Parkes. Partner Martin Pennell advised on Real Estate.

Louise Wallace (who acts on numerous hotel and leisure transactions) comments, “We have supported RBS for many years and this is the largest transaction in the pub sector since 2006. We’re delighted once again to build on our longstanding relationship with RBS.”

The firm was reappointed to the RBS panel in 2009 and together with other member firms of CMS, advises RBS across the EMEA (Europe, Middle East and Africa) region.
