CMS CMcK advises on LSE listing

CMS Cameron McKenna LLP has acted for Impax Asian Environmental Markets PLC, a new UK incorporated investment trust that has raised  £104.5 million by a placing and public offer for subscription of new shares.

The Company has issued 104.5 million Ordinary Shares at a price of 100 pence per Share, together with 20.9 million Subscription Shares by way of bonus issue on the basis of one Subscription Share for every five Ordinary Shares held. Application has been made for both the Ordinary Shares and the Subscription Shares to be admitted to the Official List of the UK Listing Authority and to trading on the Main Market of the London Stock Exchange with effect from 23rd October 2009.

The team at CMS Cameron McKenna was led by Corporate partner, Peter Smith and included Caroline Newberry, Steve Mack, Henry Wood and Laura Davis from Corporate. Paul Edmondson and Gareth Roberts from Financial Services, and Sam Dames and Aaron Fairhurst from Tax were also involved. Peter Smith commented, “We are delighted to have acted for the Company on its IPO.  The  success of the issue is a tremendous achievement . ”

The Company is a new closed-ended investment fund formed to enable shareholders to benefit from the rapid and sustained growth anticipated from companies active in the environmental sector that are based in the Asia-Pacific region. The Company intends to invest in companies that focus on clean energy, water and waste in China, Japan, India, South Korea, Malaysia, Taiwan, Australia and New Zealand.
