Bill Carr is a partner in the corporate team at CMS Cameron McKenna. 

Bill advises both private and public sector organisations on a range of corporate work, including mergers and acquisitions, corporate finance transactions, restructurings, joint ventures, shareholder agreements and corporate governance. 

Bill is a member of our infrastructure and project finance team, and his practice includes advising on the shareholder aspects of PFI, PPP and other project-based transactions, advising on secondary market transactions for infrastructure assets, and supporting infrastructure funds work. Bill also supports our real estate clients, both in relation to the structuring and setting up of vehicles for investments in property and in advising on corporate transactions in the real estate sector. 

A large part of Bill’s practice involves advising on corporate and commercial transactions in the rail sector – particularly rolling stock matters. 

Chambers UK and Legal Business both recommend Bill in relation to rail transactions. 

Relevant corporate experience includes advising: 

  • Royal School of Military Engineering on the Holdfast consortium on shareholder arrangements for the RSME PFI project
  • Future Strategic Tanker Aircraft (FSTA) project, Cobham plc, in its role as shareholder in and subcontractor to the AirTanker consortium, which was awarded a 27 year air-to-air refuelling and transport services contract by the UK MoD, the largest MoD PFI to date
  • Aspire Defence on shareholder arrangements, and structural issues for the setting up of joint ventures to carry out sub-contracted work, as part of the £11 billion PFI project to upgrade MoD accommodation on Salisbury Plain.  · 
  • IVG Immobilien on the setting up of a joint venture to purchase the 'Gherkin' building at 30 St Mary Axe, London, from Swiss Re for £630 million
  • Partnerships UK plc on the setting up of a joint venture with the Department of Health to develop LIFT projects in the primary health care sector and on the setting up of a joint venture with the Department for Education and Skills as part of the Building Schools for the Future Programme
  • Laing on the sale of a number of accommodation projects to Allianz and on the setting up and structuring of joint ventures for PFI projects
  • RREEF Real Estate on the setting up and structuring of joint ventures to invest in real estate, through on-shore and off-shore corporate and partnership structures
  • Alfred McAlpine on the sale of its investment in two roads projects to I2

Relevant rail experience includes advising:

  • Department for Transport on Channel Tunnel Rail Link/High Speed 1 issues, where he concentrates on Eurostar issues (in particular Eurostar management arrangements, Eurostar corporate structure and track access arrangements), and on corporate issues generally
  • Metronet on successful bids to acquire two infrastructure companies as part of the London Underground PPP. He led the team advising on the shareholder and equity arrangements relating to the consortium, and on the maintenance and refurbishment arrangements for the tube train stock
  • Metronet on maintenance arrangements for tube trains and on a contract for the re-design and supply of bogies; advising on the renegotiation of aspects of the rolling stock and signalling supply contracts for the BCV and sub-surface lines
  • A large UK bank on financing aspects for new train maintenance depots in Kent
