Anna focuses on M&A transactions, equity capital market deals and general corporate matters. She has been advising clients in a broad variety of business sectors, including banking and finance, private equity, agriculture, consumer products, power supply and hotels.
Prior to joining CMS Cameron McKenna in 2007, Anna worked as an associate at the Kyiv office of Chadbourne & Parke LLP focusing on M&A transactions, banking, antitrust and general corporate matters. Prior to that Ms. Ryzhova worked at Hunton & Williams LLP, a US based law firm, where she specialized in energy and natural monopoly law and various corporate matters.
Anna’s experience embraces a range of issues related to corporate and M&A matters, such as legal due diligence, transaction structuring, drafting various transaction documents and closing transactions, obtaining regulatory approvals for various types of businesses and advising on foreign investment matters.

Anna’s major experience includes advising:
- A Ukrainian agricultural company in connection with its planned IPO on the Warsaw Stock Exchange
- Intel Capital and International Finance Corporation (IFC) on the acquisition of a stake in a Ukrainian company providing professional IT services, for the purpose of constructing the De Novo Data Center, the first enterprise class Tier III data centre located in Ukraine.
- Electrolux on the acquisition of a Ukrainian factory and other assets from an Italian white goods manufacturer
- Nestlé S.A. (Switzerland) on a transaction to acquire Technocom LLC, the largest producer of dehydrated culinary in Ukraine under the Mivina brand
- A Turkish company on a joint venture with a Ukrainian investor for the purpose of constructing and operating an MDF plant located in Ukraine
- A Ukrainian agro producer on its sale of business to a private equity investor.
- ING on its acquisition of a Ukrainian life insurance company and post-closing business development matters
- Piraeus Bank in its bid for Kreditprombank
- Marfin Popular Bank in its acquisition of Morskoy Transportniy Bank, including drafting the transaction documents and advising the client on various banking and regulatory matters
- A large Western consumer finance bank on its due diligence reviews of a number of Ukrainian banks
- Credit Agricole in its acquisition of IndexBank, one of the top 25 Ukrainian banks, including a due diligence review of the target bank, drafting the transaction documents and advising on various Ukrainian law banking and corporate matters
- The shareholders of a large Ukrainian bank on the aborted tender sale of that bank. Advice included preparation of tender documents and a preparation of a data room
- One of Ukraine’s largest mobile phone operators on a $390 million secured financing from a syndicate of major western European banks
- A major hotel operator in negotiating and drafting various agreements in connection with its management of a five-star hotel owned by a Ukrainian company
- A US based power company in its due diligence of a group of energy distribution companies in connection with a potential joint venture
- Ukrainian power supply and distribution companies on Ukrainian energy regulatory and commercial law issues, as well as debt restructuring and recovery from power consumers
