Anikó is a Hungarian-qualified lawyer with over 13 years post qualification experience. She is a partner heading the Budapest office’s Corporate Department. Formerly, she worked at the Budapest Stock Exchange as legal advisor and later on as chief legal advisor. Anikó has extensive experience of practicing business law, particularly general corporate law and securities law in Hungary. She has been involved in numerous corporate transactions, including transactions for companies listed on the stock exchange, mergers and acquisitions, cross-border mergers, joint ventures and venture capital/private equity deals. She also performs overall project management in due diligence exercises. Anikó regularly advises on regulatory and licensing matters.
Relevant experience includes advising:
- Itochu, a major energy company
- advised on the acquisition of a stake in a regional energy efficiency company EETEK Holding, including due diligence, structuring, negotiating the transaction documents and the shareholders’ agreement.
- advised in relation to a contemplated swap transaction of its Hungarian investment in EETEK Holding into a Cypriote holding company and the subsequent passporting and IPO on the Warsaw Stock Exchange.
- Erste Bank – advised on the voluntary public offer and squeeze-out regarding Erste Bank Hungary and its subsequent conversion into private form.
- Shareholders of Globus Nyrt. – Advised the exiting shareholders in the course of selling of their shares to a French investor through a public takeover bid.
- Lassellsberger GmbH - Advised on its successful takeover bid for Zalakerámia Rt. – a listed company.
- Axa Bank - advised on all aspects of the cross-border merger of its Hungarian subsidiary into the Belgium subsidiary and transforming its Hungarian operation into a branch.
- DSGi Group (former Dixons Group) – Electro World – advised in relation to the operations of the Electro World stores in Hungary, and the eventual sale of the Hungarian subsidiary and the relating structuring and due diligence.
- Erste Bank der Österreichen Sparkassen AG - advised on the acquisition of Postabank Rt. from the Hungarian State, including a voluntary public offer regarding the shares of Postabank Rt. and Erste Bank Hungary, as well as the subsequent merger of Postabank Rt. into Erste Bank Hungary.
- Iberdrola – advised the client on the acquisition and structuring of various wind park projects, related restructuring, continuous legal support.
- MOL Nyrt. – advised in connection with the acquisition of shares in a project company on the strategic gas storage project.
- Pfizer Inc. –- advised Pfizer regarding the transfer of its Hungarian Consumer Healthcare Division to Johnson&Johnson.
- Raiffeisen Energy Services - advised the client on the acquisition, the subsequent sale and structuring of various wind park projects.
- Colgate-Palmolive –- advised in connection with the restructuring of its business structure in Hungary.
